ARTICLE THIRTEEN: In order to assume the statutory functions delegated to it in Article Thirteen the Board of Directors of the FOUNDATION shall be comprised of at least five members. Whoever are the members of the Continental Board of Counsellors responsible directly for Papua New Guinea will be permanent members of the Board of Directors. All other members of the Board will serve for period of two years.

a) When a definitive vacancy occurs in the Board membership whether a permanent or term-limited members, through death, resignation, removal or interdiction, the Board of Directors shall replace that member through a confirmatory vote of not less than two thirds of the total number of members which make up the Board at the time of election.
b) The term-limited members of the Board of Directors shall be elected by this body, for a period of two (2) years. As long as there is no new election or registration of term-limited members, the term-limited members shall be considered re-elected for another period of two (2) years.
c) When a term limited member of the Board of Directors, has been absent without justification, as judged by the Board of Directors, from half of the meetings carried out in the calendar year (which is from March 21 to March 20) the Board may replace that member, with a term-limited member, but the decision to replace a member must be by not less than two thirds of the total number of members.
