ARTICLE SEVENTEEN: The Board shall have the following officers:

a) An Executive Director named by the Board of Directors who shall ensure the effective action of the board in governing and supporting the organization, and oversees board affairs. Acts as the representative of the board as a whole, rather than as an individual to staff; develops agendas for meetings in concert with the Chairman; presides at board meetings; and oversees that board matters are handled properly, including preparation of pre-meeting materials, committee functioning, and nomination and orientation of new board members.
b) A Chairman named by the Board of Directors who shall assist the Executive Director to prepare the agenda, chair the meetings of the Board and to act in the absence of the Executive Director.
